Why the annual report deadline is the deadline that actually matters
An annual report is not a financial statement. It is a short filing that tells your state the LLC is still active and confirms your registered agent address. Most states charge a small fee — a few charge nothing — but the consequence of missing it is severe: states routinely dissolve or administratively revoke LLCs that do not file.
- Late fees typically run $25–$100, but they are $400 in Florida and $200 in Delaware.
- States can dissolve an LLC 30 to 90 days after a missed deadline — automatically, without a court order.
- A dissolved LLC no longer provides liability protection. Your personal assets are exposed again.
- Reinstatement costs more than the original filing: back fees, penalties, and a reinstatement fee on top.
How annual report deadlines work
Fixed-date states
The deadline is the same calendar day every year, no matter when your LLC was formed. Florida is May 1, Texas is May 15, Pennsylvania is September 30. These are the easiest to miss because they do not move with your anniversary — a December formation still files in May.
Anniversary-based states
The deadline follows your formation date. Some states mean the exact day (Massachusetts, Oregon), others mean the last day of your anniversary month (Wyoming, Illinois, Virginia), and a few use a window (Colorado opens a 3-month period from the first day of your anniversary month; Wisconsin uses the end of the quarter that contains your formation date).
Biennial states
Alaska, California, Indiana, Iowa, Kansas, Nebraska, New York, and the District of Columbia file every two years. Which years depends on the state — and for some, on the year you formed. The calculator computes the next applicable year for you.
States with no annual report
Alabama, Arizona, Missouri, New Mexico, Ohio, and South Carolina do not require an LLC annual report at all. Delaware requires no report but levies an annual LLC tax of $400 due June 1. No report does not mean no obligations — check the state notes above.

Frequently asked questions about annual report deadlines
What happens if I miss my LLC annual report deadline?
Most states charge a late fee (typically $25–$100, but $400 in Florida and $200 in Delaware) and then administratively dissolve or revoke the LLC 30 to 90 days after the missed deadline. A dissolved LLC loses its liability protection — you become personally exposed — and reinstatement costs more than the original filing, including back fees and a reinstatement fee. File on time; it is the cheapest compliance you will ever buy.
Do all states require an LLC annual report?
No. Alabama, Arizona, Missouri, New Mexico, Ohio, and South Carolina do not require an LLC annual report. Delaware requires no report but charges a $400 annual LLC tax due June 1. Every other state has some form of recurring filing, annual or biennial.
What is an anniversary-based annual report deadline?
It is a deadline tied to the date your LLC was formed rather than a fixed calendar day. In Wyoming the report is due by the last day of your anniversary month; in Massachusetts it is due on your formation date itself; in Colorado the window opens on the first day of your anniversary month and closes at the end of the third month. Enter your formation date in the calculator and it returns the exact day.
What is the difference between an annual and a biennial report?
An annual report is due every year; a biennial report is due every two years. Alaska, California, Indiana, Iowa, Kansas, Nebraska, New York, and DC use biennial cycles. The fee is per filing, not per year, so a $90 Kansas biennial report is effectively $45 a year — but you still have to remember the deadline, which is the hard part.
How do I find my LLC formation date for anniversary-based states?
It is on your Articles of Organization or Certificate of Formation — the date the Secretary of State stamped or approved the filing, which may be a few days after you submitted it. You can also find it in your state's business entity search, which is public. Use the stamped approval date, not the date you placed your order.
Can my LLC be reinstated after dissolution for a missed report?
Usually yes, but it costs more than filing on time. Reinstatement typically requires paying the missed report fees, late penalties, and a reinstatement fee, and in some states you must re-register from scratch. Some states also bar reinstatement after a period of years, after which you have to form a new LLC — and you lose the original formation date, which matters for age-based credibility with banks and vendors.
Does my registered agent file the annual report for me?
No. A registered agent receives legal documents and forwards them to you; filing the annual report is the LLC owner's responsibility. Many registered agent services offer compliance reminders or paid filing add-ons, but the obligation stays with the LLC. This calculator exists because that reminder step is where most people get burned.
Is the annual report deadline the same as my tax deadline?
No. The annual report is a state business filing with your Secretary of State; federal and state income tax filings are separate systems with separate deadlines. Missing an annual report gets your LLC dissolved by the state; missing a tax filing gets you penalties from the IRS or state revenue department. Track both.
